Terms of Use

These terms govern access to Eleo websites, applications, business software, marketplace and Eleo-powered storefronts (the “Services”). By using the Services, you agree to these terms and any service-specific terms shown when you sign up or buy.

1. Who may use Eleo

You must have legal capacity to agree to these terms. If you use Eleo for an organisation, you confirm that you can bind it. Keep account credentials secure, give accurate information and promptly tell us of suspected unauthorised use.

2. What Eleo does

Eleo provides commerce software and operates a marketplace. Marketplace merchants are independent sellers responsible for their listings, goods, services, prices, taxes, licences, fulfilment and customer promises. Unless Eleo expressly agrees otherwise for a named service, Eleo is not a fulfilment centre, payment service provider, bank, wallet issuer or merchant of record.

A marketplace order creates a contract between the buyer and the named merchant. Eleo may facilitate checkout, communications and dispute handling but does not guarantee a merchant, product, delivery or payment method.

3. Payments, subscriptions and orders

Prices, fees, billing cycles and taxes are shown before purchase or in an order form. Independent payment providers process supported payment methods under their own terms and may refuse or restrict a category, country or transaction. Eleo software availability does not guarantee payment-provider availability.

SaaS subscriptions renew as disclosed until cancelled. Marketplace returns and order disputes are governed by our Orders, Returns and Disputes Policy, the merchant's disclosed policy and mandatory consumer law.

A subscription purchased in the Eleo iOS app is processed and billed by Apple under Apple's terms. Apple controls billing, renewal, refunds and cancellation for that purchase. Manage or cancel it from the Eleo subscription screen or Apple Subscriptions. Deleting an Eleo account does not itself cancel an Apple subscription.

4. Your responsibilities

Use the Services lawfully, respect other people's rights and comply with our Acceptable Use Policy. Merchants must also accept the Marketplace Seller Terms. You are responsible for content and data you submit and grant Eleo a worldwide, non-exclusive licence to host, process, reproduce and display it only as needed to operate, secure and improve the Services.

5. Eleo technology and third parties

Eleo and its licensors retain all rights in the Services. Do not copy, reverse engineer, scrape at scale, bypass security or use Eleo branding without permission, except where law does not allow that restriction. Third-party services and links are governed by their providers.

6. Availability and enforcement

We may change, suspend or discontinue features and may restrict or end access where reasonably necessary for security, legal compliance, non-payment, material breach or protection of users and providers. We will use proportionate measures and give notice where reasonably practicable.

7. Warranties and liability

We provide the Services with reasonable care but cannot promise they will always be uninterrupted, error-free or suitable for every business. To the fullest extent permitted by law, Eleo is not liable for indirect or consequential loss, lost profit, lost opportunity or loss caused by an independent merchant or third-party provider.

Nothing in these terms excludes liability that law does not permit us to exclude, including liability for fraud, wilful misconduct, gross negligence, death or personal injury caused by negligence, or a consumer's mandatory statutory rights. A business user's total claim relating to the Services is limited to fees it paid Eleo for the affected Service in the 12 months before the event, except where that limit is unlawful or a separate signed agreement states otherwise.

8. Merchant indemnity

A merchant will reimburse Eleo for reasonable losses and third-party claims caused by its unlawful listings, goods, services, content, customer-data use or material breach of these terms. This clause does not apply to consumers acting only as buyers.

9. Governing law and changes

Nigerian law governs these terms. Nigerian courts have jurisdiction, subject to any mandatory consumer right to use another forum. We may update these terms for legal, security or service changes; we will post the revised terms and give additional notice where reasonably required.
